The transaction splits 17 aircraft into a sale-leaseback with FTAI’s Strategic Capital business and 10 off-lease jets to support its Aerospace Products engine business, marking the start of WestJet’s 737-700 retirement.
FTAI Aviation has acquired 27 Boeing 737-700 aircraft from WestJet in one of its largest transactions to date. Seventeen of the aircraft, already on lease to WestJet, were acquired in a sale-leaseback by FTAI’s 2026 SPV, the second investment vehicle of its Strategic Capital business, while FTAI itself acquired the remaining 10 off-lease aircraft to support its Aerospace Products business, expanding its supply of CFM56-7B engines and modules for maintenance and exchange customers. The 2026 SPV follows FTAI’s inaugural 2025 SPV, which raised 2.0 billion dollars in equity commitments and has committed around 6.0 billion dollars of total capital across more than 300 aircraft.
“We are pleased to expand our relationship with WestJet through this transaction,” said David Moreno, FTAI’s president. “It demonstrates how our Strategic Capital and Aerospace Products businesses work together to offer airlines comprehensive fleet solutions, from sale-leaseback capital for in-service aircraft to a flexible exit for aircraft transitioning out of the fleet.” Mike Scott, WestJet Group executive vice-president and chief financial officer, said: “This 27-aircraft transaction is a strategic milestone that officially marks the start of our retirement of our 737-700 fleet. We’re pleased to partner with FTAI Aviation Ltd. to make this happen, and we look forward to building on this relationship for future opportunities.”
