KRATOS TO ACQUIRE ISRAEL-BASED ORBIT TECHNOLOGIES LTD FOR $356.3 MILLION

DIEGO — 04 November 2025 — Kratos Defense & Security Solutions, Inc., a technology company serving defence, national security, and global markets, has signed a definitive agreement to acquire 100 percent of the ordinary shares of Israel-based Orbit Technologies Ltd (ORBI.TA) for $356.3 million. The acquisition is expected to be funded from cash on Kratos’ balance sheet.

Orbit Technologies is a leading provider of mission-critical satellite-based communication systems for mobile, unmanned aerial, seaborne, undersea, and land systems, as well as military vehicles. Its hardware and systems are deployed by major air forces, traditional prime contractors, and emerging defence and space companies worldwide, including in Israel, the United States, Europe, and the Pacific region.

 

Once finalised, Orbit will report through Kratos’ Microwave Electronics Division (KMED), headquartered in Jerusalem. The acquisition is expected to be immediately accretive across nearly all financial metrics for Kratos.

Kratos President and CEO Eric DeMarco added, “Orbit aligns perfectly with Kratos in leadership, culture, technology, and battle-proven hardware. Many of Orbit’s major customers are also Kratos clients, reinforcing the projected success of this transaction. The combination of our technologies opens new growth opportunities currently unavailable to either company on a stand-alone basis. This was a negotiated transaction, minimising disruption to both companies’ operations and commitment to our national security mission.”

 

Orbit CEO Daniel Eshchar commented, “I am honoured to join a leading global defence company. This milestone allows Orbit to expand operations and strengthen its presence in the U.S. defence market.”

 

The acquisition is expected to close by the end of March 2026, subject to customary closing conditions, including regulatory approval for the acquisition of an Israel-based national security company by a foreign entity. Kratos will incorporate Orbit’s financials into its guidance only after the transaction is completed. Stifel acted as exclusive financial advisor to Orbit.
